Service 01 · Business Formation & Structure

Most mission-driven companies are started from a generic template. Yours will carry more weight than that.

An online filing creates a company. It doesn't decide who owns what, who makes which decisions, how profits reach the cause you care about, or how the company will look to a foundation considering a partnership years from now. We help you decide all of that first, then file.

For founders, executives, and families starting a Florida LLC, a holding company, or a business meant to work with or fund a charitable cause.

What a Template Leaves Out

Filing takes ten minutes. The decisions it skips can take years to show up.

None of these problems appear the day you start. They appear when a partner leaves, when an investor asks questions, when a foundation reviews your company, or when your accountant tells you a tax setup you never chose has been costing you.

Ownership that can't handle change

No agreed answer for what happens when a partner joins, an investor comes in, someone leaves, or someone dies. Nobody asked the question, so there's no answer on paper.

A cause with no clear path

The company exists partly to support a charitable cause, but nothing in how it's set up says how that happens, who decides, or what protects it as the company grows.

A tax setup no one chose

Some owners save on taxes by choosing S-Corp status; for others it doesn't make sense. Left unexamined, the default stays in place long after it stops fitting.

The Process

Five steps, in order, every time.

Nothing is filed until the structure is planned, and nothing is planned until your goals are clear. Keeping that order is what protects you.

01

Goals Review

Who the company serves, who owns it, what it needs to fund, and what it needs to withstand. Every later decision is checked against this.

02

Structure Plan

One company, or a holding company (a parent company that owns your operating business and keeps assets and risk separate). Run by its owners or by appointed managers. For mission-driven companies, exactly how the business and the charity or cause relate, and how profits reach the cause without mixing the two.

03

Florida Filing

Your Articles of Organization (the document that creates an LLC) prepared from the plan you approve and filed with the State of Florida. Your registered agent (the person or company that receives official notices) confirmed, your EIN (federal tax ID number) obtained, and a calendar of yearly deadlines so the state never dissolves your company for a missed report.

04

Ownership & Decisions Plan

Every question your Operating Agreement (the LLC's internal rulebook) needs to answer: who owns what, who decides what, how ownership can change hands, what happens if someone leaves, and how the cause is protected. All decided with you in plain language, ready for your attorney to turn into the legal document.

05

Tax Setup & Funding Readiness

A Tax Setup Summary that lays out whether S-Corp status may make sense, using your real numbers, for your CPA to confirm. Then the funding side: the documents and records a foundation or partner organization will ask to see.

WHO DOES WHAT

We plan your company. Your attorney and CPA finalize it.

EJAH is a consulting firm, not a law firm or accounting firm. The Ownership & Decisions Plan and the Tax Setup Summary exist so your attorney and CPA start from a finished plan instead of a blank page. They spend less time learning what you want and more time on the work only they are licensed to do. If you don't have an attorney or CPA yet, we'll tell you what to look for.

What You Receive

Your Formation Record.

One organized record of how your company was planned, what was filed, and what comes next. It's what you hand to your attorney, your CPA, your board, and someday a funder.

  • A diagram of your structure, and why it was chosen
  • Your filed Articles and Florida confirmation
  • Your EIN confirmation
  • Ownership & Decisions Plan, for your attorney
  • Tax Setup Summary, for your CPA
  • A calendar of yearly deadlines
  • A checklist of what funders will ask for
  • Mission-driven plans: how profits reach the cause

Three plans. One flat fee each. No hourly billing.

Every plan includes all five steps. What changes is how many companies are set up and whether a charitable cause is built into the structure.

After Your Company Is Set Up

A company built to support a cause will eventually need to know where the funding is.

Many mission-driven clients go on to the Capital Map: research into which foundations have actually funded work like yours, using their public tax records.

Is This Right for You?

Who this isn't for

If any of these describe you, we're probably not the right fit, and saying so now saves us both time.

  • You want the fastest, cheapest filing possible. Online filing services do that well, and for a simple side business they may be all you need.
  • You want us to write your Operating Agreement or do your taxes. We don't. Licensed attorneys and CPAs do. We make sure they start from a finished plan.
  • You're starting a company outside Florida. This service is built around Florida filing and Florida deadlines.
  • Every decision is already made and you only need paperwork filed. The value here is the planning. Without it, you'd be paying for the part you could do yourself.

If none of that describes you, you're exactly who this was built for.

Questions

Before you book

Do you write the Operating Agreement?

No. We give you the Ownership & Decisions Plan, which settles every question the agreement needs to answer, together with you. Your attorney writes the agreement from it.

Will you tell me whether to choose S-Corp status?

We lay out the question clearly with your real numbers and plans in the Tax Setup Summary. The recommendation, and the filing itself, belong to your CPA.

Why not just use an online filing service?

For a simple business, you can. This service is for founders whose company has to carry more: partners, a parent company, or a cause it's meant to support. Filing is one step of five.

How do I pay?

Through Stripe, after your free consultation: half to begin, half when your Formation Record is delivered. We don't accept PayPal.

Plan it before you file it.

Request a free consultation. Bring who will own the company, the cause it should support, and anything you've already filed. We'll tell you which plan fits, or whether you need one at all.
