These Terms of Service ("Terms") govern your use of unsealedintelligence.com (the "Site") and any services you purchase from EJAH Business Consulting & Co LLC, a Florida limited liability company (Document Number L23000001544) ("EJAH," "we," "us," or "our"). By submitting a form on the Site, purchasing a service, or engaging us for work, you agree to these Terms.
1. Our Services
EJAH offers three services:
- Business Formation & Structure — planning the structure of a Florida company, preparing and filing its Articles of Organization with the State of Florida, obtaining its EIN, and preparing an Ownership & Decisions Plan and a Tax Setup Summary for the client's own attorney and CPA. Offered as flat-fee plans.
- The Capital Map Protocol™ — research into funders using public tax returns (IRS Forms 990 and 990-PF), delivered as a written report and a strategy meeting. Offered as flat-fee plans.
- The Unsealed Intelligence™ Grant Team — ongoing funder research and grant writing by a dedicated researcher and writer, offered as monthly plans (Research Only, Writing Only, Full Grant Team, and Full Grant Team + Strategy).
Current pricing and descriptions are posted on the Site and may be updated from time to time. The scope of your engagement is confirmed with you before any payment is requested.
2. Not Legal or Tax Advice
EJAH is a consulting firm, not a law firm or an accounting firm, and does not provide legal or tax advice. For Business Formation & Structure engagements, the Ownership & Decisions Plan and the Tax Setup Summary are planning documents prepared to help your own licensed professionals. Your Operating Agreement and any other legal documents must be prepared or reviewed by your own licensed attorney, and any tax election must be confirmed by your own CPA or other licensed tax professional. Attorney and CPA fees are separate from our fees and are paid directly to them.
3. No Guarantee of Funding
We do not guarantee that any funder will award a grant, that any application will succeed, or any particular funding outcome. Our 5-Gate Methodology and our review process are designed to identify well-matched funders and reduce wasted effort. Neither is a promise of funding, which is always at the funder's discretion. Capital Map findings describe past giving shown in public records and do not predict future decisions.
4. Free Consultation
Every engagement begins with a free consultation, which we review personally before sending any payment link. It exists to confirm a genuine fit and, for the Grant Team, to match you with the right researcher and writer. We may decline an engagement after this consultation if we determine it is not a good fit.
5. Payment
We do not accept PayPal.
Flat-fee services (Business Formation & Structure and the Capital Map Protocol™)
- Half of the fee is due before work begins, and the other half is due when the final deliverable (the Formation Record or the Capital Map) is delivered. Payment is made through Stripe.
- State filing fees for Business Formation engagements are charged at cost, in addition to our fee.
Grant Team monthly plans
- Monthly plans are billed through Stripe for the work described on the Site and confirmed during your consultation. Capacity for the Full Grant Team + Strategy plan is set during your consultation.
- Prepayments under $10,000 are processed through Stripe. Prepayments of $10,000 or more are paid by ACH directly to our bank, not through Stripe. Clients prepaying at this level complete an ACH Authorization Form and return it by email, not through the Site.
- Unused capacity in a given month does not carry over to the next month unless agreed in writing.
6. Cancellation & Refunds
Flat-fee services
- The first payment is non-refundable once work has begun.
- If you end a flat-fee engagement before the final deliverable, the second payment is not charged, and we deliver the work completed to that point.
- If EJAH fails to deliver what was agreed, contact us at ejah@unsealedintelligence.com and we will make it right, including a refund for any undelivered portion we are unable to complete.
Grant Team monthly plans
- To cancel, email ejah@unsealedintelligence.com. Cancellation stops future billing. The current billing month is not refunded, since work is already underway, unless EJAH failed to deliver the work owed for that month, in which case we will refund the undelivered portion.
- Financial hardship: if your organization faces a genuine financial crisis, contact us before cancelling. We will work with you on a pause or a reduced scope, by written agreement.
- Fast-track applications: if you pay before your consultation and we determine during onboarding that there is not a genuine fit, your first month's payment is refunded in full.
- Prepaid terms (3, 6, or 12 months, offered at a discount) are non-refundable once purchased, because prepayment compensates the researcher and writer assigned to your organization in advance for the full term. The fast-track refund applies only to standard single-month payments. The hardship provision above may still be used to pause a prepaid term by agreement.
7. Scope of Work
Work begins once your consultation is complete, payment has been received, and any information we need from you has arrived. Delays in receiving necessary information may reduce the work that can be completed in that period. Work outside the agreed scope may be billed separately at a rate confirmed with you in writing before the work begins.
8. Confidentiality
We treat everything you share with us, including application materials, financial information, and internal organizational details, as confidential. We do not share your information with third parties except as described in our Privacy Policy or as needed to deliver the service you engaged us for. We never request or hold funder portal login credentials, and we never disclose who our clients are.
9. Ownership of Deliverables
Once paid in full, reports, plans, applications, and other deliverables prepared for you are yours to use as you see fit. EJAH keeps the right to use its underlying methods, templates, and general research techniques for other clients. We do not reuse your organization's specific content for anyone else.
10. Limitation of Liability
Our services are provided in good faith, using publicly available information (such as IRS Form 990 and 990-PF filings) and information you provide. We are not liable for decisions made by funders, government agencies, or third parties; for inaccuracies in public filings we rely on; or for indirect, incidental, or consequential damages arising from use of our services. Our total liability for any claim related to an engagement is limited to the amount you paid for that engagement.
11. Termination
We may decline or end service to any client, including for non-payment, misuse of our deliverables, or misrepresentation of information provided to us.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
13. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page shows the most recent revision. Continued use of our services after a change means you accept the updated Terms.
